Course Description

This course focuses on the operations of the securities market, the Australian Securities and Investment Commission and other regulatory bodies Topics include securities regulation; investigation and market manipulations; and corporate groups.

Upon successful completion of this course you will be able to:

1. demonstrate an advanced and integrated understanding of the nature and extent of the corporate entity principle and to understand how this principle applies to corporate groups;

2. critically evaluate the extent and application of the Corporations Law as it regulates the giving of financial benefits by public companies to related parties; 
3. analyse and research complex problems relating to Corporations Law and make reasoned and appropriate choices amongst alternatives, including the role and powers of the Australian Securities Commission and other regulatory bodies in its regulation of the Australian corporate and securities market.
4. demonstrate sophisticated cognitive and creative skills in approaching legal issues relating to advanced company law and generate appropriate responses

• Leading class discussion on legal problems and policy issues.
• Engaging in legal research by traditional means but also using electronic legal data bases and internet searching,
• Class presentation.
