Course Summary
This course introduces you to the fundamental legal principles governing a company in Australia. The course covers the company as the predominant form of corporate structure for businesses and non-profit organisations. The course content follows the 'lifecycle' of a company and begins by considering the legal significance of incorporation including internal rules and contractual powers. You then examine the legal issues in managing a company as a going concern (including corporate finance, and directors' duties, and shareholders' remedies), before finally considering insolvency and the various external administration processes and winding up of the company.
